Pioneer Announces Full Exercise of Underwriters’ Over-Allotment Option

FORT LEE, N.J., Oct. 5, 2015 /PRNewswire/ — Pioneer Power Solutions, Inc. (NASDAQ: PPSI) (“Pioneer” or the “Company”), today announced the that the underwriters of its previously announced underwritten public offering of 1,125,000 shares of common stock have exercised in full their over-allotment option to purchase from the Company an additional 168,750 shares of its common stock at the public offering price of $4.00 per share. The public offering previously closed on September 30, 2015.
Pursuant to the exercise of the over-allotment option, Pioneer sold an aggregate of 1,293,750 shares in the offering, with total gross proceeds to the Company of approximately $5.2 million, before deducting underwriting discounts and expenses.
Roth Capital Partners acted as sole book-running manager for the offering. Monarch Capital Group acted as co-manager.
The Company intends to use the proceeds from this offering to repay a portion of its outstanding borrowings under its revolving credit facilities with Bank of Montreal and for general working capital purposes.
