IRD Report on Voting Results From 2015 Annual and Special Meeting of Shareholders

SASKATOON, SASKATCHEWAN–(Marketwired – May 6, 2015) – The following matters were voted upon at the Annual and Special Meeting of Shareholders (“Annual and Special Meeting”) for International Road Dynamics Inc. (the “Corporation”) (TSX:IRD) held on May 5, 2015 in Saskatoon, Saskatchewan. Each of the matters voted upon at the Annual and Special Meeting is discussed in detail in the Corporation’s management Proxy and Information Circular dated April 1, 2015.

The voting results for each matter presented at the annual meeting are provided below:

1. Election of Directors. The seven director nominees proposed by management were elected as directors. The results are as follows:

2. Appointment of Auditors. KPMG LLP, Chartered Accountants, was appointed to serve as the auditors of the Corporation for the ensuing year.

3. Shareholder Rights Plan. The shareholders approved the Corporation’s new Shareholder Rights Plan.

4. Approval of Stock Option Plan. The shareholders did not approve the Corporation’s amended and restated Stock Option Plan.
