Summit Materials Announces Pricing and Upsizing of $300 Million of Additional 6.125% Senior Notes Due 2023

Summit Materials, Inc. (NYSE:SUM, “Summit”) announced today that its indirect subsidiaries Summit Materials, LLC and Summit Materials Finance Corp. (the “Issuers”, and, together with Summit, “the Company”) finalized the terms of the previously announced offering of additional 6.125% Senior Notes due 2023, which was successfully upsized from $275.0 million to $300.0 million (the “notes”). Summit anticipates that consummation of the offering will occur on November 19, 2015 and intends to use the proceeds from the offering to redeem the remaining $153.8 million aggregate principal amount of the Issuers’ outstanding 10 ½% Senior Notes due 2020 and to pay fees and expenses incurred in connection with this offering, with any remaining amounts to be used for general corporate purposes, which may include the repayment of certain other indebtedness.

The notes will be issued as additional notes under the indenture governing the Issuers’ 6.125% Senior Notes due 2023 that were issued on July 8, 2015 (the “existing notes”). The notes are expected to be treated as a single series with the existing notes and will have the same terms as those of the existing notes, except that (i) the notes will be subject to a separate registration rights agreement and (ii) the notes will be issued initially under CUSIP numbers different from the existing notes. Holders who exchange their notes in a future registered exchange offer will receive registered notes that are expected to share a single CUSIP number with the existing notes, and it is expected that such notes and the existing notes will thereafter be fungible.

The notes to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The notes will be offered, by the initial purchasers, only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
