Multi Packaging Solutions Prices Secondary Offering

NEW YORK

Multi Packaging Solutions International Limited (“MPS”) (NYSE:MPSX) has priced a secondary offering of 10,000,000 common shares at $14.50 per share. The shares are being offered by certain affiliates of The Carlyle Group and Madison Dearborn Partners (the “selling shareholders”). The offering is being made pursuant to a registration statement on Form S-1 previously filed with the U.S. Securities and Exchange Commission. The selling shareholders have also granted the underwriters a 30-day option to purchase up to an additional 1,500,000 common shares. MPS will not receive any of the proceeds from the offering of shares by the selling shareholders.

BofA Merrill Lynch, Barclays and Citigroup are lead book-running managers for the offering. Credit Suisse, Goldman, Sachs & Co. and UBS Investment Bank are also serving as book-running managers for the offering. Baird and BMO Capital Markets are acting as co-managers.
