OTTAWA, ONTARIO–(Marketwired – April 7, 2015) – Enablence Technologies Inc. (“Enablence” or the “Company”) (TSX VENTURE:ENA), a leading supplier of optical components and subsystems for access, metro and long-haul markets, today announced the closing of the initial part of the first tranche of this non-brokered private placement (the “Financing”) in the amount of $1.15 million, at a price of $0.05 per unit (“Unit”). It is expected that the balance of this first tranche of financing will close on Friday, April 10th, in the amount of $350,000. Each Unit is comprised of one common share and one half of one common share purchase warrant (“Warrants”) exercisable for a period of 18 months at an exercise price of $0.06 per Warrant. As a result, 23,000,000 shares and 11,500,000 Warrants were issued. The shares and Warrants are subject to a four month hold period expiring on August 3, 2015.

As previously announced, certain insiders of the Company have participated in the Financing. De Jong & Co Inc., controlled by Louis De Jong, and John Roland, each purchased 5,000,000 Units. Each is an insider and considered a related party within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The two independent directors of the Company unanimously approved the Financing and have determined that an exemption is available from the formal valuation requirements and minority shareholder approval requirements under MI 61-101. Those directors participating in the Financing abstained from voting on these matters.

The proceeds from the Financing are expected to be used by the Company for general working capital purposes, as well as to repay bridge loans to certain insiders of the Company and other parties.
