Atkore International Group Inc. Prices Initial Public Offering of Common Stock

HARVEY, Ill.

Atkore International Group Inc. (the “Company”) today announced the pricing of an initial public offering of 12,000,000 shares of common stock by selling stockholder CD&R Allied Holdings, L.P., an affiliate of Clayton, Dubilier & Rice, LLC, at a public offering price of $16.00 per share. The Company will not receive any proceeds from the sale of shares being sold in this offering. The shares are expected to begin trading on the New York Stock Exchange on June 10, 2016 under the ticker symbol ATKR. In connection with the offering, the selling stockholder has granted the underwriters a 30-day option to purchase up to an additional 1,800,000 shares of common stock.

The offering is being made through an underwriting group led by Credit Suisse, Deutsche Bank Securities and J.P. Morgan, who are acting as joint book-running managers and as representatives of the underwriters for the offering. UBS Investment Bank, Citigroup, RBC Capital Markets and Wells Fargo Securities are acting as additional book-running managers for the offering.
