Orion Engineered Carbons S.A. (the “Company”) (NYSE: OEC), a worldwide supplier of specialty and high-performance Carbon Black, announced today that its Luxembourg statutory annual accounts for the year ended December 31, 2014 (the “2014 Statutory Accounts”) were closed and that the respective audit report was issued on March 26, 2015, as well as the audit report for the Company’s Luxembourg consolidated annual accounts for the year ended December 31, 2014 (the “2014 Luxembourg Consolidated Accounts”). The 2014 Statutory Accounts will be filed with the Luxembourg Registre de Commerce et des Sociétés.

On February 27, 2015, the board of directors of the Company proposed that the Company’s annual general meeting of shareholders (the “Annual General Meeting”) to be held on April 15, 2015, approve the 2014 Statutory Accounts and the 2014 Luxembourg Consolidated Accounts. By approving the 2014 Statutory Accounts, the Company’s Annual General Meeting will acknowledge a profit of €3,598,090.46 for the year ended December 31, 2014.

In addition, on March 6, 2015, the Company filed its annual report for the year ended December 31, 2014 (the “2014 Annual Report”). The 2014 Annual Report contains audited consolidated financial statements, operating and financial review and other disclosure. The 2014 Annual report was filed with the U.S. Securities and Exchange Commission on Form 20-F and is available at www.sec.gov.
